1. Services
Software Business LLC provides IBM ODM consulting, implementation, and support services. All services are subject to availability and mutual agreement. We reserve the right to modify or discontinue services with reasonable notice to clients.
2. Client Obligations
Clients must provide accurate information, timely feedback, and necessary access to systems for successful project completion. Delays caused by client unavailability or lack of required information may result in project timeline adjustments and additional costs.
3. Payment Terms
Payment terms are specified in individual service agreements. Invoices are due within 30 days unless otherwise agreed. Late payments may incur a 1.5% monthly interest charge. We reserve the right to suspend services for accounts with overdue balances exceeding 60 days.
4. Intellectual Property
All custom solutions, methodologies, and documentation developed by Software Business LLC remain our intellectual property unless explicitly transferred through a separate written agreement. Clients receive a license to use deliverables for their internal business purposes.
5. Confidentiality
We maintain strict confidentiality of all client information and project details. Both parties agree not to disclose confidential information to third parties without prior written consent, except as required by law.
6. Limitation of Liability
Our liability is limited to the amount paid for services in the twelve months preceding any claim. We are not liable for indirect, consequential, or punitive damages. This limitation applies to the fullest extent permitted by law.
7. Warranties
Services are provided "as is" without warranties of any kind. We warrant that services will be performed in a professional manner consistent with industry standards. This is your sole remedy for any breach of warranty.
8. Termination
Either party may terminate services with 30 days written notice. Client remains responsible for payment of all services rendered up to the termination date. Immediate termination may occur in case of material breach.
9. Governing Law
These terms are governed by the laws of Texas, United States. Any disputes shall be resolved through binding arbitration in Wylie, Texas.
